Soul Guide Media General Terms and Conditions

Definitions

Client: The natural or legal person instructing Soul Guide Media.Customer: The natural or legal person entering into an Agreement with Soul Guide Media.Agreement: Any contract between Soul Guide Media and the customer.Cooling-off period: The period for the consumer to exercise their 14-day money-back guarantee.Refund: The option for the consumer to receive a refund if the delivered product doesn't meet expectations.

No Cooling-off Period for Sales to Entrepreneurs

The 14-day cooling-off period does not apply to sales between Soul Guide Media and entrepreneurs (business to business, B2B). Soul Guide Media will not refund purchases made in a business context.

Applicability

1.1. These general terms and conditions apply to all offers, agreements, and services of Soul Guide Media unless expressly excluded or agreed otherwise in writing.
1.2. Client conditions are rejected. Deviations are valid only if accepted in writing by Soul Guide Media.
1.3. Soul Guide Media may demand strict compliance with these conditions at any time, even if leniency has been allowed.
1.4. These conditions apply to agreements involving third parties.
1.5. Conflicts with legal provisions render the conflicting provision void, replaced by a legally permissible one.
1.6. Soul Guide Media reserves the right to change these terms; all previous versions are canceled. Clients must check for updates regularly.

Offers and Quotations

2.1. All offers are revocable unless stated otherwise in writing.
2.2. The Client is responsible for accuracy and completeness of information provided.
2.3. A composite quotation does not obligate Soul Guide Media to partial performance.
2.4. The assignment content is defined by the quotation and order confirmation.2.5. Prices exclude VAT and additional costs unless stated otherwise.

Conclusion of the Agreement

3.1. The Agreement is concluded when Soul Guide Media accepts or confirms an order in writing.
3.2. Additional agreements or changes are binding if confirmed in writing within 14 days, and the Client does not object within three working days.3.3. For agreements without written confirmation, the invoice represents the agreement.
3.4. Soul Guide Media may request security before further performance.

Personal

4.1. Soul Guide Media courses are personal; distribution or reproduction is prohibited.
4.2. Sharing or trading account information is not allowed.
4.3. Violations result in account suspension and liability for damages.

Delivery and Deadlines

5.1. The delivery time starts after the Client provides necessary data.
5.2. Delivery periods are indicative; exceeding requires written notice and a reasonable period for fulfillment.

Suspension and Dissolution

6.1. If the Client fails to meet obligations under the agreement, Soul Guide Media, notwithstanding the agreement, is entitled to extrajudicially dissolve the agreement via email. Dissolution will only take place after the Client has been notified in writing of the default and has been given a reasonable period of fourteen (14) days to rectify the default.
6.2. Furthermore, Soul Guide Media is entitled, without any reminder or notice of default being required, to dissolve the agreement entirely or partly by means of an e-mail extrajudicially and with immediate effect if:
A) The Client distributes or reproduces text, audio, video, documentation, or information provided by Soul Guide Media;
B) The Client trades with and/or shares with third parties;
C) The Client spreads and/or discloses defamatory statements about Soul Guide Media.
6.3. Amounts invoiced by Soul Guide Media to the Client before the dissolution in connection with what Soul Guide Media has already properly performed or delivered in the implementation of the agreement remain owed in full, with due observance of what has been stipulated in the previous sentence, and become immediately due and payable at the time of dissolution.
6.4. In the event of termination, any claims Soul Guide Media has against the Client will become immediately due and payable.


Prices

7.1. The prices of the products and services offered are in euros, including VAT unless explicitly stated otherwise or agreed otherwise in writing.
7.2. All prices on the Website and other expressions of Soul Guide Media are subject to printing and typing errors. No liability is accepted for the consequences of printing and typing errors. In the case of printing and typing errors, Soul Guide Media is not obliged to deliver the product according to the incorrect price.
7.3. All prices on the Website and other expressions of Soul Guide Media are subject to price changes.

Payment

8.1. The Client must make the payment to Soul Guide Media within the agreed payment term of fourteen (14) days after the invoice date, in a manner to be indicated by Soul Guide Media in the currency in which the invoice is made.
8.2. Soul Guide Media is entitled to invoice periodically.
8.3. Soul Guide Media is entitled to adjust the prices and further conditions if these are not included in the Agreement. The Client is entitled, in the event of an increase in the prices and/or other conditions, to dissolve the Agreement in writing, within seven (7) days after the announcement, unless Soul Guide Media cancels the adjustment by then.
8.4. Objections to the amount of the invoices do not suspend the payment obligation.
8.5. After the expiry of fourteen (14) days after the invoice date, the Client is legally in default; the Client is from the moment of default over the amount due an interest of 1% per month, unless the statutory interest is higher, in which case the statutory interest applies.
8.6. In case of liquidation, bankruptcy, attachment, or suspension of payment of the Client, the claims of Soul Guide Media on the Client are immediately due and payable.
8.7. Payments made by the Client will always serve first to settle all interest and costs owed and secondly for the claimable invoices that have been outstanding the longest, even if the Client states that the payment relates to a later invoice.
8.8. Soul Guide Media can, without being in default, refuse an offer for payment if the Client designates a different order for the allocation of the payment. Soul Guide Media can refuse full repayment of the principal sum if the accrued and current interest and collection costs are not also paid.
8.9. The Client is never entitled to set off the amount owed by Soul Guide Media.
8.10. If the Client defaults on a payment, Soul Guide Media has the right to suspend or dissolve the (execution of the) Agreement and related agreements.
8.11. If Soul Guide Media has incurred higher costs, which were reasonably necessary, these will also be eligible for reimbursement by the Client.
8.12. Payments are made without any right to setoff or suspension.

Retention of Title

9.1. All delivered goods remain the property of Soul Guide Media until the Client has fulfilled all obligations arising from the agreement concluded with Soul Guide Media.
9.2. The Client is not authorized to pledge or encumber in any way the goods falling under the retention of title.
9.3. If third parties seize the goods delivered subject to retention of title or wish to establish or assert rights thereon, the Client is obliged to immediately inform Soul Guide Media.
9.4. The Client undertakes to insure and keep insured the goods delivered under retention of title against fire, explosion, water damage, and theft and to make the policy of this insurance available for inspection at Soul Guide Media's first request.

Force Majeure

10.1. Soul Guide Media is not obliged to fulfill any obligation towards the Client if prevented from doing so as a result of force majeure.
10.2. Force majeure means any circumstance beyond Soul Guide Media's control that permanently or temporarily prevents the fulfillment of the agreement, as well as, insofar as not already included, war, danger of war, civil war, riots, sabotage, natural disasters, strikes, government measures, power failure, malfunctions in a (telecommunication) network or connection or used communication systems, or other unforeseen circumstances.

Liability and Indemnification

11.1. Soul Guide Media's liability is limited to what is regulated in this provision.
11.2. Soul Guide Media is not liable for damage, of whatever nature, caused by Soul Guide Media assuming incorrect and/or incomplete information provided by the Client.
11.3. Soul Guide Media is not liable for any damage, of whatever nature, caused by Soul Guide Media using incorrect and/or incomplete information provided by the Client.
11.4. Soul Guide Media is not liable for any damage, of whatever nature, caused by third parties appointed by Soul Guide Media.
11.5. Soul Guide Media is not liable for any damage as a result of a delay in the performance of an agreement.
11.6. The limitation of liability as referred to in this article also applies to third parties appointed by Soul Guide Media in the performance of the agreement.
11.7. Soul Guide Media is not liable for any damage, of whatever nature, caused by Soul Guide Media assuming incorrect and/or incomplete information provided by third parties.
11.8. Soul Guide Media is not liable for any damage, of whatever nature, caused by Soul Guide Media using incorrect and/or incomplete information provided by third parties.
11.9. Soul Guide Media is not liable for any damage as a result of a delay in the performance of an agreement by third parties.
11.10. Soul Guide Media's liability is in any case limited to the amount of the fee charged by Soul Guide Media to the Client for the performance of the relevant agreement, up to a maximum of the amount covered by Soul Guide Media's liability insurance in that case.
11.11. If the agreement is mainly a continuing performance agreement with a term of more than six (6) months, the liability limitation amount is set at the total of the fees excl. VAT, charged by Soul Guide Media to the Client in the last six (6) months before the damage-causing event.
11.12. Soul Guide Media is only liable for direct damage.
11.13. Direct damage is exclusively understood to mean:the reasonable costs to determine the cause and extent of the damage, insofar as the determination relates to damage within the meaning of these conditions;any reasonable costs incurred to have Soul Guide Media's defective performance comply with the agreement, unless this defective performance cannot be attributed to Soul Guide Media;reasonable costs incurred to prevent or limit damage, insofar as the Client demonstrates that these costs have led to limitation of direct damage as referred to in these general terms and conditions.
11.14. Soul Guide Media is never liable for indirect damage, including consequential damage, lost profit, missed savings, and damage due to business interruption.

Defects and Complaint Period

12.1. Complaints (excluding those from Article 8) regarding the performed activities and/or provided services must be communicated in writing to Soul Guide Media by the Client within fourteen (14) days after completion or delivery of the respective activities or services. For consumers, a different period of 6 months after delivery applies. Soul Guide Media will handle received complaints within fourteen (14) days.
12.2. Complaints submitted to Soul Guide Media will be answered within a period of fourteen (14) days from the date of receipt. If a complaint requires a foreseeable longer processing time, Soul Guide Media will respond within the fourteen (14) days with an acknowledgment of receipt and an indication of when the Client can expect a more detailed response.
12.3. If the complaint cannot be resolved through mutual agreement, a dispute arises that is subject to the dispute resolution process.
12.4. Disputes can be submitted to a dispute committee. Submitting a dispute to this dispute committee incurs costs that must be paid by the consumer to the relevant committee.
12.5. A complaint does not suspend the Client's obligations towards Soul Guide Media, unless Soul Guide Media indicates otherwise in writing.
12.6. If a complaint is found to be justified by Soul Guide Media, Soul Guide Media will explore options for addressing the complaint. Soul Guide Media will assess whether the Client is eligible for compensation. Soul Guide Media is not bound by this.

Retention of Ownership

13.1. The content of Soul Guide Media's courses remains the full property of Soul Guide Media at all times, with no exceptions.13.2. The content of Soul Guide Media's courses is protected by copyright law.

Personal Data

14.1. Soul Guide Media processes the personal data of the Client in accordance with the privacy statement published on the website.

Applicable Law and Choice of Forum

15.1. Dutch law applies to all agreements concluded and to be concluded by Soul Guide Media.
15.2. All disputes, including those considered as such by only one of the parties, arising from an agreement to which these terms and conditions apply in whole or in part, or arising from other agreements that are a consequence of such an agreement, will be settled by the competent court in the place of establishment of Soul Guide Media, unless a mandatory legal provision opposes this. This does not preclude Soul Guide Media from agreeing with the Client to settle the dispute through independent arbitration.
